Customer Agreement

This Customer Agreement is a legally binding contract between GV Systems Technologies Private Limited ("GV Systems", "We", "Us", or "Our") and the organization or individual subscribing to our software services ("Customer", "You", or "Your"). This Agreement governs your subscription, deployment, and operation of E360 Workforce Intelligence, VelVyntra SaaS platforms, and custom enterprise tools.

1. Scope of the Agreement

This agreement outlines the technical and legal terms under which GV Systems grants the Customer access to use our SaaS applications. By initiating a purchase, creating administrator credentials, or distributing agent binaries, you bind your organization to these terms.

2. Customer Responsibilities

As a condition of using our enterprise platforms, the Customer agrees to and warrants the following:

  • Regulatory Compliance: The Customer shall comply with all local, state, federal, and international employment, labor, and privacy laws.
  • Employee Notification & Consent: The Customer is solely responsible for implementing proper workplace notices and obtaining written consent from employees, contractors, or agents whose devices are monitored using the E360 platform.
  • Lawful Business Purpose: The platform shall be deployed exclusively for lawful corporate oversight, productivity management, network security audits, and workforce diagnostics.
  • Security Control: The Customer shall maintain absolute security over all administrator credentials, active API tokens, and agent installation keys. Any unauthorized deployment or access must be reported immediately.

3. Data Ownership and Processing Roles

  • Customer Ownership: All business-related data, employee logs, productivity details, financial reports, inventories, and transaction metrics generated by the Customer's use of our platforms remain the sole property of the Customer.
  • GV Systems Role: GV Systems acts strictly as a technology provider and Data Processor. We host and manage the database pipelines solely to deliver the platform services. We do not inspect, monetize, or share Customer data with third parties unless required by law.

4. Confidentiality Obligations

Both GV Systems and the Customer agree to maintain strict confidentiality regarding all proprietary information disclosed during the term of this agreement. This includes:

  • Software architecture, code bases, pricing models, product roadmaps, and technical specifications shared by GV Systems.
  • Employee rosters, business strategies, financial records, and operating metrics uploaded by the Customer.

Confidential information shall not be disclosed to any third party without explicit prior written consent from the owner, except under legal, judicial, or regulatory compulsion.

5. Intellectual Property Ownership

The Customer acknowledges that GV Systems holds all rights, titles, and interests in and to the E360 and VelVyntra platforms, code repositories, UI designs, APIs, and associated documents. No ownership of any intellectual property is transferred under this Customer Agreement.

6. Agreement Term & Deactivation

This Agreement remains in effect for the duration of the Customer's active subscription. Upon termination or expiration of the subscription:

  • The Customer's license rights terminate immediately.
  • The Customer must cease all deployment of E360 agents and deactivate installed nodes.
  • GV Systems will delete or archive Customer data in accordance with our data retention standards and the Customer's configuration.
